Agreement to Terms

Welcome to VOR Eye Rehab. These Terms and Conditions ("Terms") govern your access to and use of the VOR Eye Rehab mobile application, website, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Important: These Terms contain a mandatory arbitration provision and class action waiver (see Section 15). Please read these Terms carefully.

Medical Disclaimer

By using this Service, you acknowledge that:

• You have consulted or will consult with a healthcare provider before beginning rehabilitation exercises
• The Service is a supplementary tool and not a substitute for professional medical care
• You will stop exercises and seek medical attention if symptoms worsen or become severe
• Individual results may vary, and the Service makes no guarantees regarding rehabilitation outcomes
• You are responsible for your own health and safety when using the Service

Eligibility and Account Registration

Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you must have parental or guardian consent to use the Service.

Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your password and account
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

License and Use Restrictions

Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial rehabilitation purposes, subject to these Terms.

Prohibited Uses

You agree NOT to:

• Use the Service for any commercial purpose without our written permission
• Copy, modify, reverse engineer, or create derivative works of the Service
• Access the Service through automated means (bots, scrapers, etc.)
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service's functionality
• Upload viruses, malware, or other malicious code
• Violate any applicable laws, regulations, or third-party rights
• Impersonate any person or entity
• Share your account credentials with others
• Use the Service to provide rehabilitation services to others without proper licensing

Subscription and Payment

Free Patient App

The VOR Eye Rehab patient app is completely free. No credit card, no trial period, no payment required.

Professional Plans

VOR Eye Rehab offers three tiers for healthcare professionals who use the Pro Portal to monitor patients:

• Starter (Free): No platform fee. Includes up to 3 patients at no charge. Additional patients beyond 3 are billed at $9.95 per active patient per month.
• Professional: Monthly platform fee (currently $49/month promotional rate; standard rate $89/month) plus $9.95 per active patient per month beyond the 3 included patients. Promotional rates, where offered, are locked to your account for as long as your subscription remains active.
• Enterprise: Custom pricing. Contact us for details.

Patient Monitoring Packages

As an alternative to monthly per-patient billing, professionals may purchase one-time monitoring packages for individual patients in 3-month, 6-month, or 12-month durations. Package pricing includes a discount compared to the equivalent monthly rate. Package details and current pricing are displayed at the time of purchase.

Subscription Terms

• Subscriptions automatically renew unless canceled before the renewal date
• You authorize us to charge your payment method for recurring subscription fees
• Prices are subject to change with 30 days' notice to existing subscribers. Locked promotional rates are not subject to change while your subscription remains active.
• You can cancel your subscription at any time through the billing management portal
• Cancellation takes effect at the end of the current billing period
• No refunds for partial subscription periods or unused portions of patient monitoring packages

Payment Failures and Grace Period

If a recurring payment fails, you will be notified by email and given a 14-day grace period to update your payment method. During the grace period, you retain full access to the Service. If payment is not resolved within 14 days, access to patient data may be suspended until the outstanding balance is settled.

Downgrade and Patient Access

If you downgrade from a paid tier to a lower tier with a patient limit (e.g., from Professional to Starter), access to patients exceeding the lower tier's limit will be suspended. Suspended patient connections are preserved and can be restored by upgrading again. No patient data is deleted as a result of a downgrade.

User Content and Data

Your Data

You retain all rights to your personal data, exercise sessions, symptom tracking, and other information you provide ("User Content").

License to Use Your Data

By using the Service, you grant us a limited license to use your User Content solely to:

• Provide and improve the Service
• Generate anonymized, aggregated analytics and outcome reports
• Comply with legal obligations

Data Collection

The Service collects the following data during normal use:

• Symptom scores: Before and after each exercise session, you rate five symptoms (dizziness, brain fog, headache, eye strain, nausea) on a 0–10 scale. These scores are used to track your progress, adjust exercise difficulty, and generate your personal analytics.
• Exercise session data: Exercise type, duration, difficulty level, and date of each session you complete.
• Device sensor data: During certain exercises (e.g., VOR training), the app reads your device's gyroscope and accelerometer to measure head rotation speed, smoothness, symmetry, and movement accuracy. This data is used to provide real-time feedback and track performance metrics.
• Progression data: Difficulty level changes, clinical rationale for adjustments, and graduation status within the progressive program.

All health data is encrypted at rest using AES-256-GCM field-level encryption in compliance with HIPAA standards. See our Privacy Policy for full details on data storage and protection.

Aggregate Outcomes Reporting

We may use anonymized, aggregate data derived from user symptom scores, exercise sessions, and progression metrics to generate and publish clinical outcomes reports. These reports:

• Contain only population-level statistics (e.g., "70% of users reported symptom improvement") — no individual user data, identifiers, or personally identifiable information is included
• May be published on our website, in marketing materials, or shared with healthcare professionals and researchers
• Are derived from anonymized data that cannot be traced back to any individual user
• May include aggregate symptom trends, improvement percentages, exercise adherence rates, and cohort analyses by duration of use

Data Sharing with Healthcare Providers

If you choose to link your account with a healthcare professional through our invite system, your individual exercise data, symptom scores, and progress reports may be shared with that professional. You control this sharing and may pause, resume, or disconnect it at any time through the app. No data is shared with any professional without your explicit action.

Data Accuracy

You are responsible for the accuracy of your symptom tracking and exercise data. We are not liable for decisions made based on inaccurate or incomplete data.

Intellectual Property

The Service, including all content, features, functionality, software, code, design, graphics, and trademarks, is owned by VOR Eye Rehab or our licensors and is protected by copyright, trademark, and other intellectual property laws.

"VOR Eye Rehab," our logos, and related marks are trademarks of VOR Eye Rehab. You may not use these marks without our prior written permission.

Any feedback, suggestions, or ideas you provide about the Service may be used by us without compensation or obligation to you.

Third-Party Services

The Service may integrate with or link to third-party services (e.g., Clerk for authentication, app stores, payment processors). Your use of third-party services is governed by their respective terms and privacy policies.

We are not responsible for third-party services, their content, or their practices. We do not endorse or guarantee any third-party service.

Disclaimers and Limitations of Liability

Service Provided "As Is"

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOR EYE REHAB AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Personal injury or property damage
• Any medical complications, injuries, or adverse health outcomes
• Any damages resulting from unauthorized access to your account
• Any errors or omissions in the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 (WHICHEVER IS GREATER).

Some jurisdictions do not allow limitations on implied warranties or liability for certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless VOR Eye Rehab and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any User Content you provide
• Any medical decisions or outcomes related to your use of the Service

Service Availability and Modifications

We reserve the right to:

• Modify, suspend, or discontinue the Service (or any part thereof) at any time
• Update features, content, or functionality without notice
• Impose usage limits or restrictions
• Refuse service to anyone for any reason

We are not liable for any modification, suspension, or discontinuation of the Service.

Termination

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms
• Fraudulent, abusive, or illegal activity
• Request by law enforcement or government agencies
• Extended periods of inactivity

You may terminate your account at any time through the app settings or by contacting us.

Upon termination, your right to use the Service ceases immediately. Provisions that should survive termination (e.g., disclaimers, indemnification, limitations of liability) will remain in effect.

Dispute Resolution and Arbitration

Informal Resolution

Before filing a claim, you agree to contact us at [email protected] to attempt to resolve the dispute informally. We will work in good faith to resolve disputes within 60 days.

Binding Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration, not in court. You agree to:

• Arbitrate disputes under the rules of the American Arbitration Association (AAA)
• Conduct arbitration in your state or county of residence
• Share arbitration costs equally, unless prohibited by law
• Resolve disputes on an individual basis (no class actions)

Class Action Waiver

YOU AND VOR EYE REHAB AGREE THAT DISPUTES WILL BE RESOLVED INDIVIDUALLY, NOT AS A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. You waive the right to participate in class actions or consolidated proceedings.

Governing Law

These Terms are governed by the laws of the State of [Your State], United States, without regard to conflict of law principles. Any disputes not subject to arbitration will be resolved exclusively in the courts located in [Your County/State].

Changes to These Terms

We reserve the right to modify, update, or replace these Terms at any time, at our sole discretion, with or without prior notice. When we make changes, we will update the "Last updated" date at the top of these Terms. For significant or material changes, we may also notify you by:

• Email notification
• In-app notification

It is your responsibility to review these Terms periodically for changes. Your continued use of the Service after any changes to these Terms become effective constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service immediately.

Changes to these Terms apply to both the mobile applications (iOS and Android) and the Professional Portal (pro.eyerehab.app).

Severability and Waiver

If any provision of these Terms is found to be unenforceable or invalid, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and VOR Eye Rehab regarding the Service and supersede all prior agreements, understandings, and representations.
